    General Terms and Conditions MAWA GmbH

    Status January 1, 2026 

    1. Scope

    These General Terms and Conditions (hereinafter referred to as "GTC") of Mawa GmbH (Mawa) apply to all contracts for the delivery of goods that a consumer or entrepreneur (customer) concludes with Mawa regarding the goods presented in the Mawa online shop.

    For the purposes of these terms and conditions, a consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity.
    For the purposes of these terms and conditions, an entrepreneur is a natural or legal person or a legally capable partnership that, when concluding a legal transaction, acts in the exercise of its commercial or independent professional activity.

    Individual agreements made with the customer in specific cases shall always take precedence over these terms and conditions.
    The contract language is German. The German version of the terms and conditions shall prevail in case of interpretation issues and disputes.

    2.Offer and conclusion of contract

    Mawa's offers are non-binding and subject to change unless explicitly designated as binding offers. They merely constitute an invitation to the customer to submit a binding offer to Mawa by placing an order.
    Mawa can accept the customer's orders within 5 days by:

    • a written order confirmation or an order confirmation in text form (fax or email) or
    • Delivery of the ordered goods or
    • by requesting payment for the order.
    The decisive factor for the time of the conclusion of the contract is the receipt of the order confirmation from Mawa by the customer or, in the case of immediate execution of the order, the receipt of the ordered products by the customer.

    If several of the aforementioned alternatives exist, the contract is concluded at the point in time when one of the aforementioned alternatives first occurs. The period for accepting the offer begins on the day after the offer is sent by the customer and ends at the end of the fifth day following the sending of the offer.
    If Mawa does not accept the customer's offer within the aforementioned period, this shall be deemed a rejection of the offer, with the consequence that the customer is no longer bound by his declaration of intent.

    Order processing and communication generally take place via email and automated order processing. The customer must ensure that the email address provided for order processing is correct so that emails sent by the seller can be received at that address. In particular, if using spam filters, the customer must ensure that all emails sent by the seller or by third parties commissioned by the seller for order processing can be delivered. 

    Storage of order data
    When submitting an offer via Mawa's online order form, the contract text is stored by Mawa after the contract is concluded and sent to the customer in text form (e.g., email, fax, or letter) after the order has been placed. Mawa does not make the contract text available in any other way. If the customer has created a user account in Mawa's online shop before placing their order, the order data is archived on Mawa's website and can be accessed free of charge by the customer via their password-protected user account using the corresponding login details. 

    3.Right of withdrawal

    Consumers generally have a right of withdrawal. Further information regarding the right of withdrawal can be found in Mawa's cancellation policy.
    The right of withdrawal does not apply to consumers who, at the time of conclusion of the contract, are not citizens of a Member State of the European Union and whose sole residence and delivery address at the time of conclusion of the contract are outside the European Union. 

    4.Retention of title

    Mawa retains ownership of the delivered goods until full payment has been received. 

    5.Prices and payment terms

    Unless otherwise stated in the Mawa product description, the prices quoted are total prices including VAT. Any applicable delivery and shipping costs will be listed separately in the respective product description. 
    For deliveries to countries outside the European Union, additional costs may be incurred in individual cases, which are beyond Mawa's control and must be borne by the customer. These include, for example, costs for money transfers by credit institutions (e.g., transfer fees, exchange rate fees) or import duties and taxes (e.g., customs duties). Such costs may also be incurred with regard to money transfers even if the delivery is not made to a country outside the European Union, but the customer makes the payment from a country outside the European Union.

    Mawa offers various payment options for ordered goods, however, the customer has no right to a specific payment method. 
    • PayPal:
    When selecting this payment method, payment processing is handled by the payment service provider PayPal (Europe) S.à rl et Cie, SCA, 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter: "PayPal"), subject to the PayPal Terms of Use, which can be viewed at https://www.paypal.com/de/legalhub/paypal/useragreement-full or - if the customer does not have a PayPal account - subject to the terms for payments without a PayPal account, which can be viewed at https://www.paypal.com/de/legalhub/paypal/privacywax-full .
    If the customer pays using a payment method offered by PayPal that can be selected during the online ordering process, the seller already declares acceptance of the customer's offer at the moment the customer clicks the button that completes the ordering process.
    •  Google Pay:
    When selecting this payment method, payment processing is handled by a payment service provided by Google LLC, 1600 Amphitheatre Parkway, Mountain View, CA 94043, USA. Google Pay processes your personal data in accordance with Google LLC's privacy policy, which the customer can view at Google Privacy Policy . 
    • Klarna
    When selecting this payment method, payment processing is handled by Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden (hereinafter "Klarna"). In cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden, Mawa offers customers the option of paying by invoice as a payment method exclusively for consumers – further information can be found under Klarna Invoice . Payments must be made to Klarna.
    When purchasing on account with Klarna, the customer always receives the goods first and then has a payment period of 21 days. The full terms and conditions for purchasing on account via Klarna can
    be viewed here .         Customers can manage all their purchases via klarna.com or the Klarna app and even pay with just one click.
    • credit card
    When selecting this payment method, the purchase price is reserved on the customer's credit card at the time of ordering ("authorization"). The customer's credit card account is actually charged when Mawa ships the goods to the customer.

    6.Delivery and shipping conditions

    Mawa only offers shipping of goods. Self-collection is not possible for logistical reasons.
    Mawa delivers within its specified delivery area to the delivery address provided by the customer, unless otherwise agreed. The delivery address provided during the Mawa order processing system is the address used for processing the transaction.
    Provided that delivery of the If the goods fail to arrive due to reasons attributable to the customer, the customer shall bear the resulting reasonable costs. This does not apply to the initial shipping costs if the customer effectively exercises their right of withdrawal. For return shipping costs, the regulations set forth in Mawa's cancellation policy apply if the customer effectively exercises their right of withdrawal.
    If the customer is acting as a business, the risk of accidental loss or damage to the goods sold passes to the customer as soon as Mawa has handed the goods over to the carrier, freight forwarder, or other person or entity designated to carry out the shipment. If the customer is acting as a consumer, the risk of accidental loss or damage to the goods sold generally only passes to the customer upon delivery of the goods to the customer or an authorized recipient. Notwithstanding the foregoing, the risk of accidental loss or damage to the goods sold also passes to the customer as soon as Mawa hands over the goods to the carrier, freight forwarder, or other person or entity designated to carry out the shipment, provided the customer has commissioned the carrier, freight forwarder, or other person or entity designated to carry out the shipment.
    If the order cannot be fulfilled due to incorrect or improper delivery to Mawa by its own suppliers, and this is not Mawa's fault, Mawa reserves the right to withdraw from the contract.
    Mawa will make every reasonable effort to procure the goods. In the event of non-availability or only partial availability of the goods, the customer will be informed immediately and the payment will be refunded immediately. 

    7.Warranty

    Mawa's warranty is provided in accordance with the statutory provisions pursuant to Sections 433 et seq. of the German Civil Code (BGB), unless otherwise specified below.
    Is the customer an entrepreneur?
             In the case of a defective product, Mawa has the right to subsequent performance in the form of rectification of the defect or a new delivery.
            The limitation period is limited to 1 year from delivery of the goods to the customer and does not begin to run again if a replacement delivery is made under the warranty.
            Warranty is excluded for used goods. These limitations of liability do not apply if Mawa has fraudulently concealed the defect.
    If the customer is a merchant, they are subject to the commercial duty to inspect and give notice of defects pursuant to Section 377 of the German Commercial Code (HGB). If the customer fails to comply with the notification obligations stipulated therein, the goods are deemed approved.

    8.Liability

    Mawa is liable only for breaches of contract or tortious acts caused intentionally or by gross negligence. Otherwise, liability is excluded. This does not affect liability under the provisions of the Product Liability Act, nor does it affect liability to the extent of any assumed guarantee, nor does it affect claims for damages by the customer arising from injury to life, body, or health, or from the breach of essential contractual obligations (cardinal obligations). Essential contractual obligations are those obligations whose fulfillment is essential for the proper performance of the contract and on whose compliance the customer may regularly rely. In the event of a breach of an essential contractual obligation due to slight negligence, our liability is limited to the foreseeable damages typical for this type of contract. The aforementioned limitation of liability also applies to the personal liability of our employees, agents, representatives, and officers. Any contributory negligence on the part of the customer will be taken into account. 

    9. Data protection

    We generally only collect, store, process, and use personal data from customers if, to the extent, and for as long as this is necessary for the establishment, execution, or termination of a contract. Further collection, storage, processing, and use of personal data only occurs if required or permitted by law or if the data subject has given their consent. The legal basis for the aforementioned data processing is Article 6(1)(b) of the General Data Protection Regulation (GDPR). We are entitled to transfer personal data to third parties if and to the extent that this is necessary for carrying out pre-contractual measures and fulfilling a contract (e.g., for shipping, invoicing) pursuant to Article 6(1)(b) GDPR or for compliance with a legal obligation pursuant to Article 6(1)(c) GDPR.

    10. Miscellaneous

    Should one or more provisions of these terms and conditions be or become invalid, this shall not affect the validity of the terms and conditions as a whole. The parties are obligated to replace the invalid provisions with new provisions that come as close as possible to the meaning and purpose of the invalid provision. 

    11. Place of performance and jurisdiction

    All legal relations between the parties shall be governed by the laws of the Federal Republic of Germany, excluding the laws on the international sale of goods. For consumers, this choice of law applies only to the extent that it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.
    If the customer is a merchant, a legal entity under public law, or a special fund under public law, and is domiciled in the territory of the Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract shall be Mawa's place of business. If the customer is domiciled outside the territory of the Federal Republic of Germany, Mawa's place of business shall be the exclusive place of jurisdiction for all disputes arising from this contract, provided that the contract or claims arising from the contract can be attributed to the customer's professional or commercial activities.

    12. Alternative dispute resolution procedure

    Mawa is neither willing nor obligated to participate in a dispute resolution procedure before a consumer arbitration board.
